How the cap table works
Keep it in Excel. Lose nothing.
I
Download, edit, upload
Your cap table comes out as a simple workbook. Edit it offline; when you upload it, only what you changed is proposed. Nothing is overwritten and deleting a row deletes nothing.
II
Checked before it counts
Over-issued classes, negative holdings, reused certificate numbers and options below the latest 409A are caught before anything is committed.
III
Two people sign
Board of directors and board of advisors approvals, investment committee decisions and material cap table changes need two different signed-in people.
Every committed version is saved with a fingerprint and an append-only ledger, ready to hand to your independent 409A provider or auditor. Velouno prepares data; it does not issue valuations, act as a transfer agent, or give legal, tax or investment advice.
For the best due-diligence outcome: have private placement materials reviewed by a FINRA-registered representative (Series 82 and 63) through their broker-dealer, and have your 409A done by an independent, qualified appraiser using the Velouno 409A pack.
