1. This agreement
These Terms of Service ("Terms") are an agreement between you and Velouno ("Velouno", "we", "us") for the Velouno CRM, the Velouno ERP and the websites at velouno.com and erp.velouno.com (together, the "Service"). If you use the Service for a company or fund, you accept these Terms for it and confirm you are authorized to do so; "you" then means that organization too.
You accept these Terms by creating an account, by checking the box at checkout, or by using the Service. If you do not agree, do not use the Service.
2. Accounts and your team
Sign-in uses your own identity provider (for example Google) or a one-time code. Keep access to your sign-in secure and tell us promptly at support@velouno.com if you believe it has been misused.
The workspace owner decides who is invited and what each person can see and do in the CRM and the ERP. The owner is responsible for the people they invite and for removing access when someone leaves.
You must be at least 18 and able to form a binding contract.
3. Plans, prices and billing
Paid plans are billed in advance, monthly or yearly, in US dollars, at the price shown at checkout. Yearly plans are priced at ten months. Prices exclude taxes; where tax applies it is added at checkout.
Card payments are processed by Stripe or Square, whichever you choose at checkout. You enter your card on their secure page. Velouno never receives or stores your full card number. Their own terms and privacy policies also apply to the payment.
Subscriptions renew automatically at the end of each billing period until cancelled. Before your first charge you will see and sign a card authorization (section 4) stating the amount, how often you are charged and how to cancel.
We will email the account owner at least 30 days before any price increase takes effect on an existing subscription. You can cancel before the new price applies.
Plans paid in bitcoin are prepaid for a fixed term, do not renew automatically, and are confirmed once the deposit settles.
4. Card authorization
At checkout you authorize Velouno, through the payment provider you choose, to charge the card you enter for the plan, amount and billing period shown, on the day you subscribe and again at the start of each renewal period, until you cancel.
You confirm that you are the cardholder or are authorized by the cardholder (for example your employer) to approve these charges. We record your typed name, the time, the plan and amount, and the exact authorization wording you approved.
If a charge fails, the provider may retry it over the following days. Your plan stays on while retries are pending; if they all fail, paid features are switched off until a payment succeeds. Your data is not deleted.
5. Cancelling and refunds
You can cancel at any time in Settings → Plan & billing, or by emailing support@velouno.com. Cancelling stops future charges; the plan stays on until the end of the period you already paid for.
Charges already made are not refunded, except where the law requires a refund, where we charged you in error, or where we end the Service for reasons other than your breach of these Terms (in which case we refund the unused part of a prepaid period).
Please contact us before disputing a charge with your bank; most billing questions are fixed within one business day.
6. Your data
You own the data you put into the Service: contacts, investor and sales records, cap tables, financials, documents and files. You give us permission to host, process and display it only to run the Service for you.
You can export your data at any time (CSV, Excel, vCard and the ERP audit packs). After cancellation your workspace stays readable and exportable on the Free plan; you can ask us to delete it.
You are responsible for having the right to upload the data you bring, including consent to contact the people in it, and for complying with email, SMS and privacy laws (such as CAN-SPAM, TCPA, GDPR and UWG) when you message them.
7. Acceptable use
Do not use the Service to send unlawful or deceptive messages, to scrape third-party sites in breach of their terms, to upload malware, to try to access other workspaces, or to resell the Service without our written agreement. We may suspend sending, or an account, to stop abuse or protect deliverability, and will tell you why.
8. Not financial, legal or investment advice
Velouno is software. It is not a broker-dealer, funding portal, investment adviser, transfer agent, appraiser or auditor. Introductions are not offers or solicitations of securities. Dry-powder figures, AI suggestions and valuation estimates are estimates; 409A packs, valuation ranges and financial reports are prepared from the data you provide for review by your own qualified professionals and are not appraisals or audits.
9. Third-party services
Integrations you connect (for example QuickBooks, SendPulse, Twilio, Stripe or Square) are provided by those companies under their own terms and pricing. We are not responsible for their services, but we only use the access you grant for the purpose you connected it.
10. Availability and changes
We work to keep the Service available and your data safe, and we keep point-in-time database recovery, but the Service is provided "as is" and "as available" without warranties of any kind to the extent the law allows. We may improve or change features; we will not remove a core feature of a paid plan during a period you have paid for without a pro-rata refund.
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app; continuing to use the Service after that means you accept them.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, and each party's total liability under these Terms is limited to the amounts you paid Velouno in the 12 months before the claim. These limits do not apply to your payment obligations, to a party's fraud or wilful misconduct, or where the law does not allow them.
12. Ending the agreement
You can stop using the Service and cancel at any time. We may end or suspend your access for a serious breach of these Terms that you do not fix within 10 days of notice, or immediately where the law requires it or to stop harm to others. Sections 5, 6, 8, 11 and 13 continue after the agreement ends.
13. General
These Terms, the plan you choose and the card authorization you sign are the whole agreement for the Service. If part of these Terms is unenforceable, the rest still applies. Neither party may transfer this agreement without the other's consent, except to a successor of its business.
Disputes: please write to support@velouno.com first; both parties will try in good faith to resolve a dispute within 30 days before starting proceedings.
Notices to you go to the workspace owner's email. Notices to us go to support@velouno.com.
